Welcome to AutoHive, a workshop management software-as-a-service (SaaS) application provided by Veem Ltd (“AutoHive”, “we”, “us”, “our”). By accessing or using the AutoHive service (“Service”), you agree to comply with and be bound by the following terms and conditions (“Terms”). Please read them carefully.
By using the Service, you (“User”, “you”, “your”) agree to these Terms. If you do not agree to these Terms, you must not use the Service.
You must be at least 18 years old and capable of forming a binding contract under New Zealand law to use the Service.
3.1 You must create an account to use the Service. You agree to provide accurate, current, and complete information during the registration process.
3.2 You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.
4.1 AutoHive grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your internal business purposes.
4.2 You agree not to:
– Use the Service for any unlawful purpose or in violation of any laws or regulations.
– Copy, modify, or distribute any part of the Service without our prior written consent.
– Use any automated system, including robots, spiders, or offline readers, to access the Service.
– Interfere with or disrupt the Service or servers or networks connected to the Service.
5.1 The Service is provided on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis, as selected by you.
5.2 All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes, levies, or duties.
5.3 AutoHive reserves the right to change the subscription fees with prior notice.
6.1 You may cancel your subscription at any time, and your cancellation will take effect at the end of the current billing period.
6.2 AutoHive may suspend or terminate your access to the Service if you breach these Terms or fail to pay any fees due.
7.1 You retain ownership of any data you upload to the Service. AutoHive will use this data solely to provide the Service.
7.2 AutoHive will handle your data in accordance with its Privacy Policy, which forms part of these Terms.
All intellectual property rights in the Service, including but not limited to software, design, text, and graphics, are owned by AutoHive or its licensors. You agree not to infringe upon these rights.
To the maximum extent permitted by law, AutoHive will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
– Your use or inability to use the Service.
– Any unauthorized access to or use of our servers and/or any personal information stored therein.
– Any interruption or cessation of transmission to or from the Service.
– Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party.
You agree to indemnify and hold harmless AutoHive and its employees, contractors, agents, officers, and directors, from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:
– Your use of and access to the Service.
– Your violation of any term of these Terms.
– Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
AutoHive reserves the right to modify or discontinue the Service at any time with or without notice. We also reserve the right to change these Terms at any time. The most current version of the Terms will be posted on our website. By continuing to use the Service after any changes, you agree to be bound by the revised Terms.
These Terms shall be governed and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in New Zealand to resolve any dispute arising out of these Terms or the Service.
